1董事薪酬、CEO薪酬与公司业绩--合谋还是共同激励?显示文摘本文从中国沪深两市观测到的上市公司中CEO和董事薪酬的趋同现象,综合代理理论和乘员理论等多理论基础,基于薪酬激励和公司治理绩效的关系,考察了董事与CEO之间的合谋、单边激励和共同激励等复杂关系。论文采用2005-2007年度我国上市公司样本池数据,通过混合回归、固定效应回归和敏感性分析等实证检验发现,我国董事与CEO薪酬激励已初步与公司业绩挂钩,但是研究揭示CEO激励走在董事绩效激励前面,董事激励不足问题突出。进一步的研究发现上市公司中CEO薪酬与公司业绩正向相关,董事薪酬对公司业绩没有显著影响;结论认为我国上市公司中董事与CEO关系并非简单合谋或共同激励关系,而是处于CEO选择合适角色或监控得当,董事仍持代理角色,并且其战略指导要弱于监控作用的'单边激励'状况。杨青 高铭 Besim Burcin Yurtoglu 2009金融研究2009,,6:54
2中国上市公司CEO薪酬存在激励后效吗?显示文摘与以往纯粹基于代理理论研究CEO薪酬激励问题不同,本文同时考虑乘员理论和制度理论等,从多视角研究上市公司治理绩效。我们采用2005~2008年沪深上市公司面板数据,按全样本、私人与国有控股、国有控股与集体等对照组进行混合回归(Pooled Regress)分析,研究证实中国上市公司CEO薪酬激励与公司业绩显著正相关,董事会部分特征与薪酬机制设计相关;被激励后的CEO在外部治理环境监控下会进一步改善公司业绩,产生激励后效,股权集中度有正向促进作用,但董事会特征与激励后效无关。研究揭示目前董事会受制于代理问题,致力于改善CEO薪酬激励不足,公司业绩改善主要来自于政策、制度变革等外部公司治理,尤其国有控股公司制度改革效应和乘员主义突出,但董事会内部绩效治理仍较弱;这对改善中国CEO薪酬机制设计及内部治理具有积极意义。论文进一步采用固定效应回归(Fixed-effectRegress)、两阶段最小二乘回归法(Two Stage Least Squares Regress)和薪酬灵敏度分析后依然支持该结论。杨青 黄彤 Steven TOMS Besim Burcin YURTOGLU 2010金融研究2010,,1:41
3我国董事会职能探寻:战略咨询还是薪酬监控?显示文摘董事会究竟发挥何种作用一直是公司治理争议的焦点问题。本文采用董事会权能对战略咨询和监督控制的双路径结构方程模型(Structure Equation Model,SEM),提出董事会的监控作用表现为以薪酬激励监督CEO为间接手段来改善公司业绩;战略咨询则体现为董事会权能对公司业绩的直接贡献。以中国2005~2007年上市公司样本的测试结果表明:国资委、地方与中央国有控股公司等的董事会薪酬监控作用显著,表现为改善董事和CEO激励不足,'薪酬激励效应'突出,董事权力和治理效果逐年改善,但其战略咨询的治理任务有待加强;私人控股公司董事会的战略和监督二元作用初步凸显,但存在'薪酬挤出效应',公司治理状况呈弱化趋势,CEO监管与激励有待改善。杨青 薛宇宁 YURTOGLU Besim Burcin 2011金融研究2011,,3:21
4Pyruvate-fortified resuscitation stabilizes cardiac electrical activity and energy metabolism during hypovolemia显示文摘AIM: To test the hypothesis that fluid resuscitation with Ringer's solution enriched with pyruvate(PR), a physiological antioxidant and energy substrate, affords protection of myocardial metabolism and electrophysiological performance superior to lactated Ringer's(LR) during hypovolemia and hindlimb ischemia-reperfusion.METHODS: Male domestic goats(25-30 kg) were exsanguinated to a mean arterial pressure of 48 ± 1 mm Hg. Right hindlimb ischemia was imposed for 90 min by applying a tourniquet and femoral crossclamp. LR or PR, infused iv, delivered 0.05 mmol/kg per minute L-lactate or pyruvate, respectively, from 30 min hindlimb ischemia until 30 min post-ischemia. Time controls(TC) underwent neither hemorrhage, hindlimb ischemia nor resuscitation. Goats were sacrificed and left ventricular myocardium biopsied at 90 min fluid resuscitation(n = 6 per group) or 3.5 h later(n = 9 LR, 10 PR, 8 TC).RESULTS: Myocardial 8-isoprostane content, phosphocreatine phosphorylation potential, creatine kinase activity, and heart rate-adjusted QT interval(QTc) vari- ability were evaluated at 90 min resuscitation and 3.5 h post-resuscitation. PR sharply lowered pro-arrhythmic QTc variability vs LR(P < 0.05); this effect persisted 3.5 h post-resuscitation. PR lowered myocardial 8-isoprostane content, a product of oxidative stress, by 39 and 37% during and 3.5 h after resuscitation, respectively, vs LR. Creatine kinase activity fell 42% post-LR vs TC(P < 0.05), but was stable post-PR(P < 0.02 vs post-LR). 5S1P/S1PR1 signaling differentially regulates the allogeneic response of CD4 and CD8 T cells by modulating mitochondrial fission显示文摘Graft-versus-host disease (GVHD) significantly contributes to patient morbidity and mortality after allogeneic hematopoietic cell transplantation (allo-HSCT). Sphingosine-1-phosphate (S1P) signaling is involved in the biogenetic processes of different immune cells. In the current study, we demonstrated that recipient sphingosine kinase 1 (Sphk1), but not Sphk2, was required for optimal S1PR1-dependent donor T-cell allogeneic responses by secreting S1P. Using genetic and pharmacologic approaches, we demonstrated that inhibition of Sphk1 or S1PR1 substantially attenuated acute GVHD (aGVHD) while retaining the graft-versus-leukemia (GVL) effect. At the cellular level, the Sphk1/S1P/S1PR1 pathway differentially modulated the alloreactivity of CD4+ and CD8+ T cells;it facilitated T-cell differentiation into Th1/Th17 cells but not Tregs and promoted CD4+ T-cell infiltration into GVHD target organs but was dispensable for the CTL activity of allogeneic CD8+ T cells. At the molecular level, the Sphk1/S1P/S1PR1 pathway augmented mitochondrial fission and increased mitochondrial mass in allogeneic CD4+ but not CD8+ T cells by activating the AMPK/AKT/mTOR/Drp1 pathway, providing a mechanistic basis for GVL maintenance when S1P signaling was inhibited. For translational purposes, we detected the regulatory efficacy of pharmacologic inhibitors of Sphk1 and S1PR1 in GVHD induced by human T cells in a xenograft model. Our study provides novel mechanistic insight into how the Sphk1/S1P/S1PR1 pathway modulates T-cell alloreactivity and validates Sphk1 or S1PR1 as a therapeutic target for the prevention of GVHD and leukemia relapse.
